Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the OpifexBrief platform (“Service”), operated by Madcow Venture Company LLC (“MVC,” “we,” “us,” or “our”). By subscribing to or using the Service, you (“Subscriber,” “you,” or “your”) agree to these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Service Description
OpifexBrief is a web-based customer intake and diagnostic triage platform designed for field service companies. The Service provides a branded, web-accessible intake form for your customers (“End Users”), structured diagnostic questionnaires with audio and photo capture, automated dispatch reports with pre-diagnosis and truck-load suggestions, SMS and email notifications, QR code assets for marketing materials, and a dashboard for managing customer submissions. The Service is provided as a progressive web application (PWA). No native app installation is required by you or your End Users.
2. Account Registration and Security
You must provide accurate, complete, and current information during registration and are responsible for maintaining its accuracy. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. You must be at least 18 years old to create a Subscriber account.
3. Subscription and Payment
The Service is offered at $49.99 per month, billed monthly in advance. There is no setup fee, activation fee, or onboarding charge. You authorize us to charge your designated payment method for all subscription fees and are responsible for keeping your payment information current. We may change subscription pricing with 30 days' written notice to the email address on file. Price changes take effect at the start of your next billing cycle following the notice period. You may cancel before the new price takes effect. Subscription fees are exclusive of applicable sales tax, use tax, or value-added tax, which will be added where required by law.
4. Cancellation and Refunds
Your subscription is month-to-month with no minimum commitment period. You may cancel at any time through your account dashboard or by contacting us at support@opifexbrief.com. Cancellation takes effect at the end of your current billing period. Upon cancellation, your access continues until the end of your paid billing period. After that date, your branded intake page will be deactivated and your dashboard will become read-only for 30 days. You may export your customer submission data at any time during your subscription or during the 30-day read-only period. After 30 days, your data will be permanently deleted unless you request an extension. Because the Service is billed month-to-month with no commitment, we do not issue partial-month refunds. If you believe you were charged in error, contact us within 30 days of the charge.
5. Your Data
You retain all ownership rights in the data you and your End Users submit through the Service (“Subscriber Data”), including customer names, contact information, equipment details, photos, audio recordings, and diagnostic responses. You grant us a limited, non-exclusive license to use, process, store, and transmit Subscriber Data solely to provide and improve the Service. We will not sell, rent, or share Subscriber Data with third parties except as described in our Privacy Policy or as required by law. We may create anonymized, aggregated data derived from Subscriber Data that cannot be used to identify you or any individual End User. We own this aggregated data and may use it to improve the Service and for industry benchmarking. You are responsible for ensuring that your collection and use of End User data through the Service complies with all applicable laws, including any obligation to provide notice to or obtain consent from your End Users.
6. Branding and Customization
Your intake page will be hosted on a branded subdomain and customized with your logo, colors, and business information. You grant us a limited, non-exclusive license to display your trade name, logo, and brand colors solely for the purpose of operating your branded intake page. This license terminates upon cancellation. You represent that you have the right to use any logos, images, or brand materials you provide to us.
7. Acceptable Use
You agree not to use the Service for any purpose other than legitimate field service business operations; submit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable; attempt to gain unauthorized access to the Service, other Subscriber accounts, or our systems; reverse-engineer, decompile, or disassemble any part of the Service; use the Service to send unsolicited communications to End Users; resell, sublicense, or redistribute access without our written consent; or use the Service in any way that could damage, disable, or impair its operation.
8. Intellectual Property
The Service, including its code, design, diagnostic logic, user interface, documentation, and all related intellectual property, is owned by Madcow Venture Company LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service. “OpifexBrief,” “Madcow Venture Company,” and associated logos are trademarks of Madcow Venture Company LLC. You may not use our trademarks without prior written consent, except as necessary to describe your use of the Service. If you provide suggestions, feature requests, or other feedback about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback without compensation or attribution.
9. Third-Party Services
The Service integrates with third-party services including SMS delivery, hosting infrastructure, and payment processing. Your use of the Service is subject to the terms of those third-party providers where applicable. We are not responsible for the availability or reliability of third-party services, though we will make commercially reasonable efforts to maintain critical integrations.
10. Service Availability and Support
We target high uptime for the Service but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible. Support is provided via email at support@opifexbrief.com. We may update, modify, or add features to the Service at any time. We will not remove core functionality without 60 days' notice and a reasonable transition path.
11. Disclaimer and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Pre-diagnosis suggestions, truck-load recommendations, and urgency flags generated by the Service are informational tools based on statistical patterns. They are not professional engineering assessments. You and your technicians are solely responsible for all diagnostic and repair decisions.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.
12. Indemnification
You agree to indemnify, defend, and hold harmless MVC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any applicable law, or any dispute between you and your End Users.
13. Termination
You may terminate your subscription at any time as described in Section 4. We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees after 15 days' written notice, or if we reasonably believe your use poses a risk to other Subscribers or to the Service. We will provide written notice and a reasonable opportunity to cure, except where immediate action is necessary. Sections 5, 8, 11, 12, 14, and 15 survive termination.
14. Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Before filing any formal proceeding, you agree to contact us at legal@opifexbrief.com and attempt to resolve the dispute informally for at least 30 days. Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Maricopa County, Arizona. You agree to resolve disputes on an individual basis and waive any right to participate in a class action or representative proceeding. Either party may bring an individual action in small claims court if the claim qualifies.
15. General Provisions
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MVC regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver. You may not assign your rights without our written consent; we may assign ours in connection with a merger, acquisition, or sale of assets. Notices will be sent to the email address on your account. We are not liable for delays caused by events beyond our reasonable control.
